WAGNER HISTORY Caterpillar® dealer Wagner Equipment Co. has grown from 350 employees in four Colorado locations to 1500 employees in 29 locations across Colorado, New Mexico and far west Texas. The 70’s – Wagner steps in: in 1976, the McCoy Co. was purchased by Joe Wagner (right). A graduate of Knox College, Joe had entered the Cat dealer business in 1954, with 22 years at Texas Cat dealership Darr Equipment Co., ascending to executive vice president and co-owner of Darr. Our founder Joe Wagner remained involved in the company’s operations for many years, passing away in December 2018. At the time of purchase, Wagner Equipment Co. had

equipment rental market. This would later become a new division: Wagner Rents, the Cat Rental Store. The 80’s and 90’s – the rise of Wagner Rents: In the late 1980’s and 1990’s, Wagner’s core markets changed. Opportunities to sell large machines for massive projects such as highways and dams became less prevalent, replaced by smaller infill construction jobs and municipal tasks that required smaller machines. The customers shift from buying to renting has also driven an increase in compact unit desirability. Caterpillar recognized this trend and began to introduce a new line of Building Construction Products (BCP) and Compact Construction Equipment (CCE). Continued on page 12

EDITOR NOTES approximately 350 total employees, in Denver and in the branch cities of Durango, Grand Junction and Pueblo. It was the largest equipment distributor in the state of Colorado, a distinction that continues to this day.

In 1983, Wagner Equipment Co. moved to an all-new facility built at the corner of Smith and Tower Road in Aurora CO. The new facility was purpose-built to support Caterpillar equipment and engines, and has continued to expand, with several buildings recently added to its 70-acre campus.

The Next Generation of Cat Excavators offers premium performance with simple to use technologies. The mini and micro excavator models include sealed and pressurized cabs to ensure a clean environment, and a redesigned heating/ ventilating/air conditioning system that ensures all-weather climate control. The 301.8 is the smallest mini excavator on the market with heat and A/C keeping operators comfortable in any environment. Every year in the United States, billions of dollars in damage to properties and ground structures is caused by expansive soil. According to the USA Today Network, Coloradoan, this equates to more damage than the combined natural disasters of flooding, earthquakes, tornadoes and hurricanes. side slope. It then hit another rock, knocking it onto its side and rolling multiple times, landing semi-upright. The dozer then continued traveling down the 40-degree slope in reverse heading for a deep, rocky ravine. There were only seconds to prevent the dozer from a likely non-survivable dive over the edge. Dunlop was slumped over, unconscious from the impact even with the full Enclosed Rollover Protection Structure of his dozer, plus a helmet and safety belt. The Hot Shot Crews attempted to access the cab of the moving dozer. One Hot Shot Crew member narrowly escaped injury from jumping onto the moving track. Drummond witnessed the rollover and immediately sprung into action turning 180 degrees and closing in on Dunlop’s dozer, which was moving toward a very steep ravine. Drummond caught up to Dunlop’s dozer and rammed it three times with his CAT D6K XL, turning the dozer uphill, all while Dunlop remained slouched unconscious over the controls. Drummond then lodged his blade into Dunlop’s CAT D5M dozer’s

right track and stopped Dunlap’s dozer allowing one of the Hot Shot Crew members to jump on the dozer and turn it off. At that point, the Hot Shot Crew called incident command and brought in an air ambulance (helicopter). Dunlop was airlifted to Valley View Hospital in Glenwood Springs where he was treated for his injuries. Dunlop fully recovered and is currently employed with Pitkin County Public Health. Not all fire-fighting dozer accidents end this well. Unfortunately, two similar incidents in June and July of 2018 in California ended with the deaths of the operators. Had it not been for Drummond’s quick thinking and dozer-operating skills, this one may not have turned out so well. As Dunlop put it “He saved my life.” Drummond continues to work for Walters Company as a project manager, supervisor and skilled operator. The two remain good friends.

The Lake Christine Fire in Basalt, Colorado started on the evening of July 3, 2018 and blazed throughout the summer and fall. When it was all said and done, over 1,800 people were evacuated from 664 residences, three homes were destroyed, and 12,588 acres burned. Hundreds of people fought the fire, and, luckily, no one died. There were many close calls. One of those close calls took place between two volunteers pioneering access roads and clearing brush from the burn zone. Both volunteers are seasoned operators and long-time friends: Mark Drummond of Walters Company, and Tom Dunlop, then-retired safety officer and firefighter for the Snowmass volunteer fire department. When Drummond and Dunlop realized their skills could help stop the fire, they jumped at the chance. On July 7, 2018 while clearing brush/ fuel for the fire, a rollover accident occurred. Dunlop’s dozer blade dislodged a large boulder causing the dozer to dive off of the narrow, pioneered road and onto a 40-degree

In addition to using more small machines, customers began renting equipment more frequently instead of purchasing it. This approach gave customers better management of their finances, and improved their ability to meet changing work opportunities. In response to these shifts, Wagner began to expand Wagner Rents. In addition to the original Colorado Springs location, another Wagner Rents store opened in Downtown Denver. Later, new stores opened in Fort Collins and in the booming mountain areas north and west of Denver: Carbondale, Gypsum, Steamboat Springs, Silverthorne, Eagle-Vail, and Granby. A few years later, after capitalizing on local construction booms, the Eagle-Vail and Granby locations closed. Through the 1990’s, Wagner Rents expanded to twelve stores across Colorado, including two short-term locations that were created exclusively to support major projects – in Florence, to support the federal Supermax prison project; and at 88th and Tower, north of Wagner’s Aurora headquarters, to support construction of Denver International Airport.

In 1999, Wagner Equipment Co. was named Colorado’s best family-owned business by the Colorado Business Journal. In 2002, Joe Wagner was inducted into the Colorado Business Hall of Fame. This award was not only to recognize his success in Colorado business, but also for his commitment to the Colorado community. He was active in helping Colorado’s youth in the Denver Area Council Boy Scouts, The Denver Boys and Girls Clubs, Colorado Up-Lift, Children’s Hospital and the Children’s Hospital Foundation. He played an active role in the Denver Metro Chamber of Commerce and as a board member for United Bank, now Wells Fargo Bank. One other Colorado business history fact is that Hal Darr helped found the original Frontier Airlines in 1950, headquartered at Stapleton Airport in Denver. Bruce Wagner has followed his father’s tradition of community support, actively participating in several community organizations, including the United Way, the Juvenile Diabetes Research Foundation, Denver Zoo, Children’s Hospital, National Western Stock Show and others.

Three former Wagner Equipment Co./Wagner Lift Truck locations were also re-purposed into Rents stores. In Grand Junction and Pueblo, Wagner Equipment Co. operations expanded into new larger facilities, which allowed Wagner Rents to move into the original locations. In Commerce City, after Wagner exited the lift truck business in the mid 1990’s, the former Wagner Lift Truck Corp. headquarters was converted into a Wagner Rents store.

In 1997, an ag- oriented facility opened in Burlington, in eastern Colorado. This was in support of Caterpillar’s growing Challenger Ag tractor line and the new Cat Lexion combine line.

The 2000’s – more expansion… in territory and in markets: In 2002, a used parts and used machine business, 2ndSteel, was opened in Brighton CO. Also in 2002, Wagner acquired the Rust Tractor Company, a well-respected Caterpillar dealership covering New Mexico and far West Texas. This added four additional full-service facilities in Albuquerque, Farmington, Hobbs, and El Paso, and two additional Wagner Rents/ Cat Rental Store facilities in Albuquerque, El Paso, Las Cruces, among others. The Rust acquisition effectively doubled Wagner’s domestic geographic territory, and boosted its total personnel and business by 50%. In addition, the move has given Wagner a more strategically diversified business, especially in the realm of Power Systems, where the Rust organization had excelled in capturing significant business in power generation and in the oil and natural gas industries, markets that are large users of Cat Power. Rust developed a reputation for engineering, and constructing specialized power packages used by these customers worldwide. An agreement signed in 2002 between Caterpillar and Ag industry giant AGCO which opened the door for Wagner to offer a greatly expanded array of Ag products, including the

In 2014, Wagner became a SITECH dealer, a new business focused on sale and support of Trimble® connected technology, serving both Caterpillar customers and non-Caterpillar customers. Connecting equipment assets through cellular technology and remotely tracking equipment location, performance and health data is beneficial to customers, Wagner and Caterpillar. In addition, sophisticated machine control and guidance technology offered by Wagner and SITECH helps customers get more productivity from their equipment, and strengthens the partnership Wagner and Caterpillar have with these customers. Also in 2014, a new facility in Yuma, CO was constructed to help grow Wagner’s Ag business in northeast Colorado. Wagner also acquired Intermountain Construction, a Colorado-based dealer for Metso crushing and screening equipment and other related product lines was purchased. This has expanded and diversified Wagner’s business substantially: Wagner has more to offer their core customers in construction, mining, quarry and aggregate markets, and has been able to develop relationships with entirely new customers that had previously not done business with the company.

Challenger Ag tractor line. In certain parts of the territory, Wagner was later given sales and support responsibility for other AGCO’s product lines, including Massey Ferguson, Gleaner, and Hesston. To help support this larger Ag opportunity, and other markets, in 2005 an all-new facility in Windsor CO opened. This store was unique for Wagner at the time, in that it combined all of the company’s business operations – Wagner Equipment Co., Ag, Power, and Rents – under one roof. This more efficient and convenient “co- locate” philosophy has since been applied to other Wagner locations. In 2006, new Wagner Rents stores in Flora Vista NM, and Las Cruces NM, were established. In 2009, after outgrowing their location at 2880 I-70 Business Loop, Wagner’s Grand Junction operation moved to a new larger facility at 2332 I-70 Frontage Road, offering better highway access, along with greater capacity and capability. In 2013, Wagner became a dealer for Expanded Cat Mining Products (formerly Bucyrus), which further expanded the company’s overall opportunity. With this expansion came two additional locations – former Bucyrus parts support operations in Paonia CO and Carlsbad NM. The Carlsbad location has since expanded its offerings to include a Wagner Rents operation.

In 2016, an all-new co-locate facility was erected in Bloomfield NM, to replace Wagner’s Farmington and Flora Vista locations. In 2018, Wagner acquired H. Manning Co. in Lamar CO, a dealer for Massey Ferguson tractors. Other significant product lines handled by H. Manning include Valley Irrigation sprinklers and Bush Hog mowers and attachments. This acquisition has significantly expanded Wagner’s reach and offerings to farmers in southeastern Colorado. In 2019, Wagner opened a new Rents location on eight acres near its Aurora headquarters. This location is our HQ for Rents operations. In 2020, a significant remodel of the main Aurora facility was finished, bringing a fresh feel and 21st century efficiencies to this key facility. Wagner is also relocating and expanding capabilities in the Albuquerque New Mexico with a new facility near the Albuquerque Sunport. Wagner Equipment Co.’s core business is the earthmoving/construction industry, which is stronger than ever. The mining oil and gas business is also a strong market – oil and gas opportunity remains an essential portfolio component. New products recently introduced by Caterpillar tailored to the well servicing and well stimulation markets, including well service

pumps and gas compression equipment, have given Wagner additional ways to serve the Oil and Gas industry. Even as nationwide coal production declines, the mining industry continues to offer opportunity through active copper, silver, gold and potash mines in Wagner’s territory. Wagner’s Power Systems Division in growing, has expanded into new highly sophisticated power markets, with a growing line of products that create, distribute and manage on-site power quietly and efficiently. Wagner Rents, “The Cat Rental Store,” has become highly successful. It is a well-regarded source for smaller machines and contractors’ supplies, now a big part of Wagner’s business. In addition to new products and new markets, Wagner is also developing new services and approaches to help customers become more efficient and profitable. Robust online portal applications now let customers interact quickly and efficiently through their laptops and mobile devices. Flexible financing options have helped customers acquire machines in ways that enhance their business, including short and long-term rentals, various lease and rental-purchase options, and unique “power by the hour” arrangements that offer fixed owning and operating costs. Do-it-

yourself maintenance kits are now helping some customers manage their equipment on their own. Wagner places a high value on employee development at all levels, and in 1999 established the Wagner Training Institute as a technical and soft skills training resource for employees and customers. WTI currently runs apprenticeship technician training programs, helping Wagner fulfill a growing need for skilled technicians. In 2011, WTI received Caterpillar Certified designation as a Gas Engine Training Center. Wagner’s Technology Solutions department offers an array of innovative products and services to help customers become more efficient than ever before. This includes GPS and laser-based machine control and guidance systems through SITECH; remote equipment monitoring; oil/ fluids laboratory analysis; and custom equipment management plans that can include any or all needed service throughout the life of the machine or engine. Since 1976, Wagner’s ongoing goal has been to evolve to meet customers’ changing needs. The result: Wagner customers get what they need, when they need it…in ways that strengthen relationships, ensure high levels of satisfaction, and increase loyalty.

Wagner Power Systems offers green energy and microgrid power solutions for customers with critical electrical needs. No grid required. Microgrids have been part of Wagner for years. But, they were often limited to battery backups, requiring a generator for longer duration needs. Today’s microgrid produces electricity, regardless of duration, and now includes green technology such as solar, wind, batteries and natural gas generators. WHAT IS A MICROGRID? A microgrid is a small network of electricity with a local source that can function by itself. While a standby generator can be used for emergency services, such as is mandated in hospitals and other commercial facilities, a microgrid can operate as a primary energy source for long periods.

MORE THAN A GREEN INITIATIVE Microgrids are designed to use green energy to reduce pollutants to protect the ozone. Used as stand-alone solutions, many eco-friendly sources won’t function apart from electricity. A microgrid uses a combination of green energy products to overcome this challenge, making it a better solution for businesses seeking independence from the national electricity supply. MICROGRID OFFERS A COMPLETE SOLUTION, REGARDLESS OF WEATHER CAT recently installed solar panels in the employee parking at our Albuquerque facility to supply 700kw – enough to support the building’s day to day electrical needs. This is a green initiative designed to use less power and create cost savings, while also creating shade for the lot. However, if the power goes out, or it’s cloudy, the solar panels won’t work. This means it is a supplementary power source, not a complete one like a microgrid would be. In our case, we’re good with the grid. But for customers who need 100% power at all times for mission-critical tasks--a microgrid is a solid option.
